Terms of Service

Welcome to The Legal Prompts. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and The Legal Prompts ("Company," "we," "us," or "our") governing your access to and use of our website, applications, and AI-powered legal document generation services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization.

The Legal Prompts provides an AI-powered platform that enables legal professionals to generate legal document templates, drafts, and correspondence using artificial intelligence technology. Our Service includes:

• AI-powered legal document generation tools
• Pre-built legal prompt templates
• Free NDA Generator tool (with limited generations)
• Subscription-based access to premium features
• Educational resources including guides and blog articles

The documents and content generated through our Service are intended as starting points and templates only. They do not constitute legal advice, and we strongly recommend that all generated documents be reviewed by a qualified attorney before use.

Eligibility. You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Account Creation. To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Account Security. You are solely responsible for maintaining the confidentiality of your account credentials. We will not be liable for any loss or damage arising from your failure to protect your account information.

Subscription Plans. We offer the following subscription plans:

• Professional Plan: $49 per month (introductory rate), includes 100 AI document generations per month
• Strategic Plan: $99 per month (introductory rate), includes unlimited AI document generations, Interest Toggle feature, Reasoning & Traceability, dedicated support, and early access to new features

Billing Cycle. Subscriptions are billed monthly in advance. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Payment Processing. All payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred. We do not store your complete credit card information on our servers.

Price Changes. We reserve the right to modify subscription prices at any time. Price changes will take effect at the start of the next billing cycle following notice to you. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at contact@thelegalprompts.com. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds will be provided for partial billing periods, except as outlined in our Refund Policy.

Failed Payments. If a payment fails, we will attempt to process the payment again. If payment continues to fail, we may suspend or terminate your access to the Service.

We offer a free trial that allows users to generate up to three (3) documents using our Free NDA Generator tool without creating an account or providing payment information.

Free Trial Limitations. The free trial is subject to the following limitations:

• Limited to three (3) document generations per user
• Limited to NDA documents only
• Free trial usage is tracked by IP address and browser fingerprint
• Attempting to circumvent free trial limitations may result in permanent access restrictions

The free trial is provided "as is" and is subject to change or discontinuation at any time without notice.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service to generate documents for any illegal purpose or in violation of any applicable laws or regulations
• Use the Service to create fraudulent, misleading, or deceptive documents
• Attempt to gain unauthorized access to any portion of the Service or any related systems
• Use automated systems, bots, or scripts to access the Service without our express written permission
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Resell, sublicense, or redistribute the Service or generated content without authorization
• Use the Service in a manner that could damage, disable, overburden, or impair our servers
• Transmit any viruses, malware, or other malicious code through the Service
• Violate any applicable laws, regulations, or third-party rights

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

Not Legal Advice. THE SERVICE PROVIDES AI-GENERATED DOCUMENT TEMPLATES AND CONTENT FOR INFORMATIONAL PURPOSES ONLY. THE CONTENT GENERATED THROUGH OUR SERVICE DOES NOT CONSTITUTE LEGAL ADVICE, AND SHOULD NOT BE RELIED UPON AS SUCH.

No Attorney-Client Relationship. Use of the Service does not create an attorney-client relationship between you and The Legal Prompts. We are not a law firm, and no employees or representatives of The Legal Prompts are acting as your attorney. The Legal Prompts does not provide legal representation or advice.

Professional Review Required. All documents generated through the Service are intended as starting points and templates only. We STRONGLY RECOMMEND that you:

• Have all generated documents reviewed by a qualified attorney before use
• Customize generated content to fit your specific circumstances and jurisdiction
• Verify that generated content complies with applicable laws and regulations in your jurisdiction
• Consult with appropriate legal counsel for complex or high-stakes matters

AI Limitations. You acknowledge and understand that:

• AI technology has inherent limitations and may produce errors, inaccuracies, or incomplete content
• Generated documents may not account for recent changes in law or jurisdiction-specific requirements
• The quality and accuracy of generated content depends on the information you provide
• AI-generated content may not be suitable for all legal situations or jurisdictions
• We do not guarantee the legal validity, enforceability, or completeness of any generated document

User Responsibility. YOU ARE SOLELY RESPONSIBLE FOR:

• Reviewing and verifying all generated content before use
• Ensuring generated documents are appropriate for your specific legal needs
• Seeking professional legal advice when necessary
• Any consequences arising from your use of generated documents

Jurisdictional Considerations. Documents generated through the Service are based primarily on general principles of United States law. Laws vary significantly by state, country, and jurisdiction. It is your responsibility to ensure that any document you use complies with the laws applicable to your situation.

Our Intellectual Property. The Service, including its original content, features, functionality, software, and underlying technology, is owned by The Legal Prompts and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

Your Rights to Generated Content. Subject to your compliance with these Terms, you retain ownership of documents generated through the Service using your inputs. You are granted a non-exclusive, worldwide, royalty-free license to use, modify, and distribute documents generated through the Service for your lawful business purposes.

Limitations. You may not:

• Claim ownership of the underlying templates, prompts, or AI models used to generate content
• Resell or redistribute generated content as part of a competing service
• Remove or alter any proprietary notices from the Service

Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

Your Content. You retain ownership of any content, data, or information you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to process such content solely for the purpose of providing the Service to you.

Content Standards. You are responsible for ensuring that your User Content does not violate any applicable laws or third-party rights. You represent and warrant that you have all necessary rights to submit User Content to the Service.

Data Processing. Your User Content may be processed by third-party AI service providers (such as Anthropic) to generate documents. We implement appropriate safeguards to protect your data, as described in our Privacy Policy.

Data Retention. We retain User Content only for as long as necessary to provide the Service. Generated documents may be deleted from our systems after 30 days unless you save them to your account.

Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

No Consequential Damages. IN NO EVENT SHALL THE LEGAL PROMPTS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including AI-generated documents
• Unauthorized access, use, or alteration of your transmissions or content
• Any errors, inaccuracies, or omissions in generated content
• Your reliance on any generated content without professional legal review

Liability Cap. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Basis of the Bargain. THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY GENERATED CONTENT
• WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• WARRANTIES THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED

WE DO NOT WARRANT THAT GENERATED DOCUMENTS WILL BE LEGALLY VALID, ENFORCEABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOUR USE OF THE SERVICE AND ANY GENERATED CONTENT IS AT YOUR OWN RISK.

You agree to defend, indemnify, and hold harmless The Legal Prompts and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service, including any content you generate
• Your use of generated documents without appropriate professional review
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any claims by third parties arising from documents you create using the Service

Termination by You. You may terminate your account at any time by contacting us at contact@thelegalprompts.com or through your account settings.

Termination by Us. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if:

• You breach any provision of these Terms
• We are required to do so by law
• We discontinue the Service
• Your account has been inactive for an extended period

Effect of Termination. Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account and associated data
• All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

Governing Law. These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall be resolved as follows:

• Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us at contact@thelegalprompts.com to attempt to resolve the dispute informally within 30 days.
• Arbitration: If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, USA, and the arbitrator's decision shall be final and binding.

Class Action Waiver. YOU AND THE LEGAL PROMPTS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in court for matters related to intellectual property rights or unauthorized access to the Service.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the changes becoming effective. The "Effective Date" at the top of these Terms indicates when these Terms were last revised.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
